ROKH TIPS - Non Disclosure Agreement: definizione di informazioni riservate e perimetro oggettivo

Come noto, gli accordi di confidenzialità – o Non Disclosure Agreement, per usare la terminologia inglese – sono una delle misure giuridiche essenziali per proteggere le informazioni riservate; lo strumento principale per consentire a un soggetto conoscitore e titolare di un’informazione che ha valore in quanto segreta, di poterla divulgare a coloro di cui ha inevitabilmente bisogno per poterla sfruttare (ad es., fornitori).

Questi contratti, così come le clausole di riservatezza, contengono generalmente al loro interno una definizione di “Informazioni Riservate”. Tale definizione svolge il fondamentale ruolo di perimetrare l’oggetto degli obblighi di segretezza che la parte che riceve le informazioni si vincola a rispettare; in poche parole, delimita il confine fra ciò che si può dire liberamente e ciò che non si può dire, ma che, anzi, si deve proteggere.

In genere vi si fanno rientrare i più vari esempi di informazioni tecniche, come progetti, distinte di base, formule; ma non solo, anche informazioni commerciali, come business plan, piani marketing, modalità di organizzazione e gestione, ecc. Insomma, si cerca di ricomprendere ogni dato relativo allo svolgimento del business che un’impresa può avere interesse a mantenere confidenziale.

Di prassi si inserisce nel perimetro delle informazioni riservate anche l’esistenza stessa del contratto e i suoi specifici termini e condizioni. Questo chiaramente è importante ove una collaborazione è, ad esempio, ai suoi albori (e, quindi, non c’è ancora abbastanza “fiducia” nel far circolare la notizia della collaborazione) oppure di natura particolarmente preferenziale (e presenta, dunque, condizioni economiche di maggior favore che non si vuole si sappia che sono state applicate).

Bisogna fare sempre attenzione, però. Difatti non tutti i rapporti contrattuali devono per forza essere tenuti segreti; se la riservatezza c’è tendenzialmente sempre con riferimento agli specifici termini e condizioni applicati, l’esistenza e il raggiungimento di un contratto potrebbe avere un valore quasi “pubblicitario” per un’impresa, da comunicare al pubblico. Si pensi, ad esempio, quando viene assoldato un grande nome per un ruolo, con tanto di comunicati stampa ecc. In quel caso la clausola di riservatezza definirà le condizioni economiche come riservate, ma non l’esistenza del contratto; anche perché, se lo facesse, ci si troverebbe immediatamente dinanzi a una situazione di inadempimento.

In buona sostanza, nel perimetrare le informazioni confidenziali, è sempre bene ragionare sugli obiettivi di business delle parti firmatarie.
